Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at sandybrookdevworks.com, consulting services provided by Sandy Brook DevWorks LLC ("Sandy Brook," "we," "us"), and the Relay platform at relay.sandybrook.io. By using any of these, you agree to these Terms. If you do not agree, do not use our services.
1. Services
Consulting
Sandy Brook provides fractional CTO and custom software development services on an engagement basis. Scope, deliverables, timelines, and fees for any consulting engagement are set out in a separate statement of work or master services agreement between us and the client. These Terms do not, by themselves, create a consulting engagement.
Relay platform
Relay is a subscription platform that provides an AI-powered virtual receptionist — answering inbound phone calls and SMS messages on behalf of subscribing small businesses. Your use of Relay is governed by these Terms together with your plan selection (Solo, Team, or Business).
2. Eligibility and Account
You must be at least 18 years old and have the authority to bind the business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at security@sandybrook.io if you suspect unauthorized access.
3. Subscriptions, Billing, and Usage
Plans
Relay is offered on monthly recurring plans that include a set number of call minutes and optional add-ons. Current pricing is displayed on the Relay dashboard and may be updated from time to time — changes to your specific plan will not take effect mid-cycle unless you change your plan yourself.
Hard cap by default
When your plan's included minutes (or, with the SMS add-on, included segments) are exhausted, new calls are answered with a brief unavailable message and new SMS messages are not replied to, until your next billing cycle starts. You may enable overage billing from your dashboard to keep service running beyond included limits; doing so requires you to explicitly acknowledge the per-minute and per-segment rates we will bill.
Payment
Billing is handled by Stripe. You authorize us (and Stripe) to charge your payment method for all subscription fees, overage fees, and applicable taxes. If a charge fails, we may suspend service after a grace period. Fees are non-refundable except where required by law.
Cancellation
You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of your current billing period; we do not pro-rate unused time. Upon cancellation, phone numbers you provisioned are released back to Twilio within 24 hours, and call/SMS history is retained per the retention window of your final plan.
4. Acceptable Use
You agree not to, and not to permit anyone using your account to:
- Use the service for any purpose that is unlawful, fraudulent, deceptive, or infringing.
- Configure the AI assistant to impersonate a real person without their consent.
- Use the service to send unsolicited marketing messages, spam, or content that violates the Sandy Brook SMS campaign registered with The Campaign Registry.
- Attempt to circumvent plan limits, rate limits, or security controls.
- Reverse engineer, resell, or white-label the service without our written agreement.
- Use the service in connection with high-risk activities where failure could lead to death, personal injury, or severe environmental damage (for example, life support, emergency dispatch, nuclear facilities).
5. Your Content and AI Outputs
You retain all rights to the content you configure (FAQs, custom instructions, trusted numbers, uploaded recordings) and the content your callers provide. You grant Sandy Brook a non-exclusive, worldwide license to use that content solely to provide the service to you — including sending it to our subprocessors (see our Privacy Policy) and to the Vertex AI Gemini model to generate replies and summaries.
AI-generated replies are produced on a best-effort basis. They may contain errors, may not reflect your exact views, and should not be relied on for legal, medical, financial, or other professional advice. You are responsible for the business decisions you make based on AI-generated content.
6. Privacy and Data
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Callers and texters can opt out of SMS at any time by replying STOP.
7. Third-Party Services
The service depends on third-party providers (Google Cloud, Twilio, Stripe, SendGrid, and others). We are not responsible for outages or changes to those services, but we will take reasonable steps to route around or mitigate their impact.
8. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SANDY BROOK DEVWORKS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to defend, indemnify, and hold harmless Sandy Brook DevWorks LLC and its officers, employees, and agents from any claim arising out of your use of the service, your content, or your violation of these Terms or applicable law.
11. Termination
We may suspend or terminate your access if you violate these Terms, if your account is delinquent, or if continuing to provide the service exposes us to legal or operational risk. We will provide reasonable notice when practical.
12. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction there.
13. Changes
We may update these Terms from time to time. Material changes will be noted by updating the "Last updated" date and, for active subscribers, by email. Continued use of the service after an update constitutes acceptance of the revised Terms.
